International Contract Negotiations -
Understanding and Dealing with the Common Law Of Contracts and the Lawyers who use it

This seminar will focus on International Contract Negotiations with a Common Law lawyer and how to understand his thinking and his documents.

The fundamentals of Common Law contract law and its roots will be explained and compared to the Civil Code. Sample contracts will be analyzed, including business acquisition, employment, license and distribution agreements. In addition to explaining the fundamentals of the Common Law, substantial emphasis will be placed on practical differences to be encountered when negotiating with American and English attorneys in the context of contract negotiations. Finally, in order to give German students a taste of how American and English lawyers are trained in the Common Law, the classic Socratic method of teaching will be used to give practical insight into the mind of a Common Law lawyer. In order to do this, you will be asked to attend regularly, to read cases and materials in advance and be ready to actively participate in the seminar and answer questions when called upon. This will not be a lecture. The language of the program will be English but the lecturer will use German to assist, answer questions and explain matters. The Gliederung on the slides will be in German.

This is intended to be a live-action course to take you out of the Civil Law world and provide you with a frame of reference and legal knowledge for your later interaction with attorneys from the many Common Law jurisdictions around the world.

The seminar leader is a New York born and US trained attorney, whose mother tongue is German and who continued his legal studies at the Eberhard Karls Universität Tübingen (with Prof. Dr. Fikentscher). He has been practicing international law in New York and Frankfurt for some 40 years, specializing in representing German companies doing business in Common Law jurisdictions around the world.

Diese Veranstaltung wird durch Studienbeiträge gefördert und ist für Studenten, die regulär zum Studium an der LMU eingeschrieben sind, kostenfrei. Von Gast- und Promotionsstudenten der LMU, externen Studenten sowie von Referendaren erbitten wir eine Schutzgebühr i.H.v. 100 €, von Berufstätigen einen Beitrag von 160 €.
